AT&T Ameritech
/SBC Retirees - We are AASBCR® Association of Ameritech/SBC Retirees - AASBCR® Bylaws (amended on March 10, 2011) Article IV Officers Section 1 Officers. The officers of the Association shall consist of a Board of Directors numbering five as defined below. The elected Board upon being duly sworn in will choose the President of the Board.
Section 2 Duties, Vice-President Membership and Benefits. The Vice-President Membership and Benefits shall: a) Communicate with the membership regarding dues renewal and joining of the organization. b) Communicate with retirees in an effort to expand the organization. c) Actively solicit new members. d) Work with the President on proposing all policy positions regarding retiree benefits. e) Be the primary contact with AT&T on matters pertaining to retiree benefits. f) Establish and maintain a functional relationship with AT&T. g) Have the responsibility to coordinate and prioritize all retiree benefit issues.
Section 3 Duties, Vice-President Legislation & Regulation. The Vice-President Legislation & Regulation shall: a) Monitor and interpret all local and national legislation and benefit issues that are relevant to the Association. b) Develop and propose positions regarding legislative and benefit issues that support the objective of the Association. c) Work in close harmony with the President to provide complete understanding of current and pending legislative and benefit issues. d) Assist the Board with periodic communication to all members of the Association regarding the impact of current and pending legislation and benefit issues.
Section 4 Duties Vice-President Technology and CFO. The Vice-President Technology and CFO shall: a) Work with Board members to establish an annual budget. b) Present the budget to the Board for approval. c) Receive and disperse monies which shall be recorded appropriately. d) Pay all association bills promptly. e) Responsible for the preparation of annual state and federal income tax returns. f) Work with the Audit Committee as per Article VII, Section 4. g) Prepare a report of the audit results and make recommendations for budget modifications for approval by the Board. h) Maintain electronic membership list.
Section 5 Duties, Vice President Communications. The Vice President Communications shall: a) Distribute e-mail information to membership. b) Manage the Association communication and distribution processes. c) Coordinate and maintain web site content and functionality.
Section 6 Duties, Secretary. The Secretary shall: a) Maintain the records of the association, Board meeting minutes, incorporation documents, tax records, insurance policies, etc. b) Maintain annual calendar. c) Maintain current documents at one site.
Section 7 Duties, President. The President shall: a) Preside over all Board meetings. b) Be responsible for the agenda. c) Appoint, subject to Board approval, committee members as necessary. (The President shall actively solicit Board suggestions for all appointments.) d) Be responsible for official correspondence and communications of the Association although this duty may be delegated. e) Be the primary spokesperson for the Association, although this duty may be delegated. f) Have the authority to negotiate on behalf of the Association, although this authority may be delegated. |
